Requirements

  • Juris Doctor (JD) from an accredited law school.
  • Active bar membership in good standing in at least one U.S. jurisdiction.
  • 5+ years of in-house legal experience or equivalent corporate legal firm experience
  • Strong knowledge of contract law, commercial terms, and risk management principles.
  • Excellent drafting and negotiation skills with attention to detail.
  • Ability to manage multiple priorities and deadlines in a fast-paced environment.
  • Strong interpersonal and communication skills, with the ability to collaborate effectively with diverse teams.
  • Experience with contract lifecycle management (CLM) tools is a plus.
  • Must be eligible to work in the United States without future sponsorship
  • Must have a reliable form of transportation.

Responsibilities

  • Draft, review, and negotiate a wide variety of vendor contracts, including service agreements, software licensing agreements, consulting agreements, and non-disclosure agreements.
  • Ensure contracts align with company policies, mitigate risks, and protect the organization’s interests.
  • Maintain and update the contract management system to track contract status, key dates, and compliance requirements.
  • Provide guidance to internal stakeholders regarding contract obligations and implementation.
  • Ensure all vendor contracts comply with applicable laws and regulations.
  • Identify and address potential legal risks associated with vendor relationships.
  • Collaborate with cross-functional teams, including procurement, IT, finance, and operations, to understand business needs and ensure contracts meet organizational objectives.
  • Provide legal advice and recommendations to internal stakeholders regarding vendor relationships.
  • Assist in developing and refining templates, playbooks, and standard operating procedures for vendor contracts.
  • Stay current on legal trends and industry best practices to improve contracting processes and efficiency.
  • Provide training and support to business teams on contracting best practices and compliance requirements.

Preferred Qualifications

  • Familiarity with data privacy, cybersecurity, and intellectual property issues as they pertain to vendor contracts.
