Responsibilities
- Lead and guide a team that performs Board operational activities and supports corporate governance initiatives for M&T and its subsidiaries
- Key driver for critical milestones and deadlines for board and committee preparation
- Assist with preparation of board and committee meeting schedules, resolutions, and review of minutes
- Assist with preparation of board and committee meeting presentations and supplemental materials including liaising with the internal teams responsible for these presentations and materials and providing guidance on content, formatting, and ensuring consistency across all presentations
- Assist with board logistics and meeting planning, including serving as key planning contact in connection with board and committee meetings
- Serve as Administrator for the board portal for the Board and its Committees
- Collaborate with the Executive Leadership Team and cross-functional partners to identify and recommend potential process improvements and ensure efficient board and committee procedures. Implement the approved changes to meeting processes
- Support corporate governance initiatives related to the Board, including D&O questionnaires, onboarding and Board training/development, and proxy statement preparation
- Lead efforts to define scope/approach for Board initiatives
- Review policies and procedures related to the Office of the Corporate Secretary, and work with the corporate attorneys in the Legal Department to make recommended changes
- Consider stakeholder perspectives, address objections, help develop solutions, and drive action. Interact with senior management (internal/external) to obtain pertinent information
- Understand and adhere to the Company’s risk and regulatory standards, policies, and controls in accordance with the Company’s Risk Appetite. Identify risk-related issues needing escalation to management
- Promote an environment that supports and reflects the M&T Bank brand
- Maintain M&T internal control standards, including timely implementation of internal and external audit points together with any issues raised by external regulators as applicable
- Complete other related duties as assigned
Preferred Qualifications
- Bachelor’s degree in finance, economics, math, accounting, engineering, or business administration and/or a master’s degree in business administration (MBA) or another advanced degree
- Minimum of 6 years’ relevant work experience, including 3 years of work experience at a public company in a board-facing role, inclusive of an understanding of the functions of Corporate Secretary and applicable corporate and securities law requirements, and 3 or more years of people leadership experience in building, managing, and/or developing high performing teams
- Banking/financial industry experience
- Experience with administering a board portal (currently Boardvantage), as well as experience with Microsoft Suite (Word, Excel, PowerPoint), Adobe Acrobat and web-based applications
- Six Sigma, Lean or Process Improvement, or project management-related education
- Experience with financial, regulatory and/or process analysis, and technical writing
