Requirements

  • Law degree (JD) from an accredited law school or equivalent legal experience.
  • 2+ years’ experience with commercial contracts, or equivalent transferrable skillset from in-house or law firm setting.
  • Working knowledge of standard legal terms and conditions.
  • Operational knowledge of commercial contracting terms, HIPAA, data security, or data privacy regulations.
  • Exceptional contract drafting and negotiation skills with a keen attention to detail, preferably commercial terms and conditions.
  • Exceptional interest in commercial transactions, financial activities, and business decisions.
  • Detail-oriented, organized, and able to work in a fast-paced, high-pressure environment.
  • Excellent problem-solving skills and ability to handle complex legal issues.
  • Excellent verbal and written communication skills, including legal drafting skills.
  • Exceptional interpersonal skills to work with cross-functional teams and external stakeholders.

Responsibilities

  • Prepare, review, and negotiate complex contracts, including commercial agreements for Intuitive’s products and services.
  • Act as legal manager for digital, data, and privacy agreements.
  • Handle Business Associate Agreements under HIPAA.
  • Stay updated on legal and regulatory changes in the medical device industry.
  • Provide recommendations and guidance based on industry best practices, including HIPAA and emerging trends.
  • Collaborate with internal stakeholders, like business development, product managers, and executives.
  • Understand business goals, provide legal advice, and negotiate favorable terms.
  • Represent Intuitive Surgical with external parties, including customers, regulators, and affiliates.
  • Identify, assess, and support potential legal risks in contracts.
  • Propose strategies and advice to mitigate legal risks.
  • Uphold ethical standards and ensure compliance with all applicable laws, regulations, and company policies in contract negotiations and daily activities.
  • Work closely with cross-functional teams, including regulatory affairs, service department, field service, manufacturing, and marketing.
  • Ensure alignment between legal requirements and business goals.
  • Review and assess new products before commercial launch.
  • Draft and develop new legal or acquisition agreements to support those new products.
  • Manage the entire contract lifecycle, from drafting to execution and termination.
  • Ensure timely renewal, amendments, and compliance.
  • Work closely with Intuitive Surgical’s Legal, Sales, Customer Service, Accounting, and Logistics teams on the system sales process.
  • Collaborate with Marketing, Clinical Affairs, and Market Access on further contractual activities.
