Requirements
- JD and admission to at least one US state bar
- 3-7 years relevant experience practicing corporate law at a major law firm and/or in-house
- Highly collaborative, detail-oriented, intellectually curious, with strong organizational skills and a great sense of humor
- Ability to be self-directed and flexible in a fast-paced, high-growth Company while balancing multiple priorities
- Demonstrated capability to navigate ambiguities and find creative, risk-based solutions to complex problems
- Exceptional interpersonal and communication skills, including the ability to connect with, and gain the respect of, stakeholders at all levels, including our executive team
Responsibilities
- Assist with M&A deals, venture, equity and debt financings, tender offers, employee and investor secondary sales, strategic transactions and international expansion efforts
- Assist the GC in collaborating with external counsel and advisors to stay ahead of evolutions in a complex regulatory and corporate landscape domestically and abroad
- Support corporate governance matters, including researching and assessing legal and regulatory matters, staying current on corporate governance trends and best practices and SEC and Nasdaq developments to advise decision-makers on the risks, providing options for implementing new changes, and recommending courses of action to ensure compliance with existing law and how to prepare for emerging legal regimes
- Develop strong, trusted advisor relationships with key stakeholders, to lead cross-functional initiatives to support the GC, CEO and the Board
- Assist with reviewing HR and Recruiting policies and procedures as needed
- Collaborate with business partners across all functions to deliver practical and solution-oriented day-to-day legal advice cross-functionally regarding legal risks, business strategies, and other issues related to general legal matters that effectively achieve business objectives while protecting the company’s interests
- Take ownership and accountability for key projects and decisions and see them through — making sure that the appropriate stakeholders are engaged and providing rigorous follow-through and iteration
- Other duties and assignments determined by the GC to support internal stakeholders and continually enhance support function processes for execution of the company’s strategies
