Requirements

  • J.D. degree from an accredited law school and admission to at least one U.S. jurisdiction (California preferred).
  • 5+ years of M&A experience, with significant law firm or in-house experience and experience advising on strategic investments.
  • Interest in corporate compliance and ethics, with a willingness to develop training programs and processes.
  • High level of initiative, flexibility, and adaptability to meet a variety of challenges and priorities.
  • Excellent business judgment with a capacity to make decisions and provide advice.
  • Excellent interpersonal skills with high initiative, flexibility, and a team-first approach.
  • Advanced analytical ability, attention to detail, strong organizational skills, and ability to thrive in a fast-paced environment.

Responsibilities

  • Advise and execute on M&A transactions, including due diligence, structuring, drafting, negotiating, and closing acquisition agreements as well as post-closing integration activities.
  • Advise and execute strategic investments, and other strategic transaction-related matters.
  • Support development and implementation of compliance and ethics programs in collaboration with Compliance and HR teams.
  • Oversee corporate governance and compliance matters for domestic and international subsidiaries, including entity formation, maintenance, and dissolution.
  • Develop strong relationships with cross-functional teams, including Corporate Development, Finance, Tax, Compliance and Human Resources.
  • Work efficiently with outside counsel as required.
  • Support special projects as needed.

Preferred Qualifications

  • Experience in corporate compliance and ethics programs, including training implementation and policy design and/or entity management (domestic and international).
  • In-house legal experience in a corporate legal department, especially at a consumer-facing and/or technology business.
