Requirements

  • University degree, certified Canadian Lawyer, admitted to at least one bar, ideally Ontario and/or Bureau du Québec; Common Law specialist
  • 8 years of minimum experience
  • Familiarity with the medical device industry, laws and regulations governing medical device manufacturers, distributors and healthcare compliance, government tendering and contracting
  • Experience working for global healthcare companies
  • Verbal and written: English fluent; ideally also fluency in French
  • Ability to travel 10% or less
  • Strong communication skills, including advising leadership, senior management, and functional employees, across multiple regions
  • Interaction with professional service providers and potentially with key customers/distributors/suppliers
  • Building a strong and cost-sensitive Legal network
  • Correct/resolve issues by significantly improve existing or adapting new methods or techniques

Responsibilities

  • Ensure legal policies and documentation are in place throughout the region to support the business from a legal, compliance and regulatory perspective.
  • Develop a legal framework that services all Cardinal Health businesses in the region, including the engagement and management of external counsel where necessary.
  • Support critical contract negotiations.
  • Play an active advisor role with the commercial business while providing legal, compliance and practical advice.
  • Partner with senior leaders to navigate external healthcare legal and compliance matters that could have implications on the business.
  • Actively work on the integration of Cardinal Health acquisitions and the development of regional business operations for Cardinal Health.
  • Be an active member of the Canada Legal & Compliance Teams.
  • Actively liaise and coordinate with the Legal & Compliance organizations in the Cardinal Health headquarters in Dublin/OH.
  • Ensure accurate and timely legal assessments of risk exposure, structured transactions, strategic value and impact on business operations to enable business leaders to take sound business decisions.
  • Create legal templates and processes and ensure usability and integration into the operating systems.
  • Serve as Corporate Secretary as necessary and provide guidelines on corporate governance, as applicable.
  • Develop a full understanding of and contribute to the overall business strategy for the region.
  • Provide legal support for entrance into new markets and licensing of new products, including Merger & Acquisition activity, joint ventures and related transactions.
  • Establish and maintain appropriate legal risk awareness and legal risk management within the region and monitor the effectiveness of legal and compliance risk controls, and as needed, identify and remedy control gaps.
  • Overlook and establish processes for the overall contract negotiations, contract management and standardization of commercial contracts and related documentation throughout the region.
  • Provide proactive and pragmatic legal advice and guidance to Global Procurement business clients based on advanced knowledge of commercial healthcare transactions, knowledge of corresponding laws and regulations.
  • Communicate in a professional and persuasive manner and have appropriate support and substantiation for legal advice and recommendations.
  • Interpret and provide guidance on Cardinal Health’s policies and procedures.
  • Be able to develop and implement policies, projects, processes, systems and controls across a complex company.
  • Be able to work independently, cross-functionally and collaboratively.
