Requirements

  • Bachelor’s degree (U.S. or foreign equivalent) in Business Administration, Economics, Finance, Information Technology, Computer Science, Software Engineering, or a relevant field such as Consumer Retail
  • Four (4) years of experience in the job offered or in a related role
  • Prior experience must include three (3) years with leading dialogue when liaising with other senior bankers, clients, and product experts in assisting clients with executing complex financial transactions involving debt and equity products
  • Facilitating live deal execution, including facilitating due diligence processes, negotiating legal agreements with lawyers and deal constituents, and liaising with other investment banks and other parties
  • Assisting senior bankers with reviewing, guiding, and coordinating junior professionals’ work product
  • Structuring, analyzing, and executing transactions for middle market companies, with experience advising technology and consumer retail clients
  • Developing, reviewing, and presenting complex presentations and financial models including M&A and LBO analyses to C-level executives of clients in the technology and consumer retail sector
  • Generating and presenting potential acquisition ideas to technology and consumer retail clients that are a good strategic fit and financially attractive for their existing businesses
  • Prior experience must include two (2) years with working on middle market M&A transactions up to $5bn in enterprise value in the technology and consumer retail sector
  • Reviewing complex valuation and financial analysis in transactions for the technology and consumer retail sector
  • Developing and nurturing relationships with clients in the technology and consumer retail sector and generating new business opportunities within the sector
  • FINRA Series 79 license required
  • Travel required up to 5% of the time to global client sites

Responsibilities

  • Provide financial advice to middle market companies on mergers and acquisitions (M&A) transactions (inclusive of cross-border M&A), capital raising and other complex financial transactions
  • Develop, review and present complex presentations and financial models (including M&A and LBO analyses) to C-level executives of middle market clients on M&A, corporate strategy, and financing alternatives
  • Concurrently lead multiple teams in structuring and executing M&A, equity and debt financing transactions and work closely with internal and external senior executives
  • Responsible for structuring, analyzing, and executing transactions on behalf of companies in the middle market space, with a focus on technology and consumer retail companies
  • Manage live deal execution, including negotiating legal agreements with lawyers and process constituents, and liaising with investment banks and client advisors
  • Facilitate extensive financial and business due diligence, including review of strategic operating plans and analyzing historical and projected financial performance, among other IP, legal, accounting, business/operations topics
  • Drive all aspects of an M&A process including deal origination, information memorandum preparation, strategic and financial partner approach strategies, valuation and combination analyses, transaction negotiation and fairness opinions and board presentations
  • Supervise, guide, and coordinate junior professionals’ work product, including reviewing financial modeling work and presentations prepared for live deals, corporate board meetings, investment banking pitches and client service projects on corporate finance topics; supervise and review memoranda required to gain approvals from typical investment banking committees
  • Draft and review securities offering documents, sale and purchase agreements and other legal contracts for financial transactions
  • Execute detailed analysis of the pro forma impact of debt, equity and other capital issuances, spin-offs, divestitures, and changes in capital allocation policies, including dividend and share repurchases
  • Analyze and execute a variety of corporate finance transactions, including those more than $1.0bn
  • Develop new and strengthen existing client relationships.
