Requirements
- J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction
- 8+ years of relevant legal experience, preferably in-house within a multinational corporate legal department
- Proven experience negotiating and drafting commercial contracts, including sales, distribution, agency, rebates, software licensing, SaaS and procurement (direct and indirect materials & services) agreements
- Business-oriented mindset with a pragmatic approach to legal risk assessment and mitigation
- Tech-savvy, intellectually curious and comfortable leveraging digital tools; familiar with the use of AI solutions in legal workflows (e.g., contract review, research, or knowledge management)
- Demonstrated ability to work independently while collaborating effectively with cross-functional teams; proven track record of influencing stakeholders and delivering practical business-minded legal advice
Responsibilities
- Provide counsel and advice to cross-functional stakeholders and senior leaders to set the company’s legal strategy on a broad range of matters related to new initiatives and products and other corporate, transactional, and regulatory matters.
- Lead high-impact negotiations and support business strategy through legal expertise in commercial transactions. Provide advice and counsel on structuring, development, and implementation of commercial transactions, including sales agreements, agency agreements, rebate agreements, software licensing, service contracts (including software as a service), and procurement agreements with customers, suppliers and other business partners.
- Support direct and indirect sales transactions, ensuring contracts align with company policies, legal requirements, and risk tolerances.
- Advise on government contracting issues, including compliance with federal, state, and local public sector procurement rules.
- Advise HR and management on employment law matters, including workforce policies, disputes, and evolving labor regulations.
- Advise on legal risk assessment and mitigation strategies.
- Support dispute resolution and litigation management, coordinating with the Head of Legal Americas, our lead litigation counsel and/or outside counsel as necessary.
- Provide training and legal education to business teams on key legal and regulatory issues. Respond to regulatory inquiries and investigations as needed.
Preferred Qualifications
- Familiarity with public sector contracting, procurement regulations, and compliance requirements is a plus
