Requirements

  • A Bachelor’s degree from accredited university preferred
  • Paralegal certificate
  • A minimum of three (3) years of relevant experience; in-house experience preferred
  • Highly organized, detail-oriented, creative, efficient and resourceful, with strong follow-through
  • Strong work ethic and sense of professionalism and discretion
  • Demonstrated accountability, integrity, good judgment and respect for confidentiality

Responsibilities

  • Support the corporate secretarial function for the Company, including maintaining corporate records, governing documents, permits, licenses and filings, and coordinating and conducting corporate filings, ordering documents from Secretaries of State and managing the company’s agent in connection therewith, and responding to relevant inquiries regarding corporate information and corporate-related matters.
  • Assist with and supporting the General Counsel with various strategic initiatives, including M&A activities, corporate governance and equity and debt financing, such as coordinating the preparation of disclosure schedules and other document
  • Assist with maintenance of the company’s IP portfolio (and liaising with outside counsel where applicable), including assisting with clearance and acquisition of copyrights and domain names and renewals
  • Support managing litigation and other legal disputes for the Company, including issuing and cataloging hold notices and assisting with document collection and retention, maintaining case files, and correspondence with the Company’s outside counsel and parties
  • Draft and review agreements, correspondence, and other documents as necessary
  • Review, process, reconcile and track legal invoices
  • Assist in the development, generation, implementation, maintenance and refinement of forms, processes and procedures with respect to the Company’s Legal function
  • Ability to travel up to 10% domestically and internationally
  • Other duties as assigned
