Requirements
- Minimum of 5 years relevant experience working at a law firm or financial institution
- J.D. from a highly regarded law school and active membership in a U.S. state bar
- Experience drafting and negotiating private credit, portfolio finance and/or private equity investment agreements and related documentation
- Ability to appropriately prioritize tasks, organize, and coordinate work while showing initiative, independence and sound judgment
- Demonstrated ability to work effectively both independently and as part of a team
- Ability and willingness to take ownership and responsibility for tasks
- Detail-oriented and flexible with a strong work ethic
- Superior organizational skills and the ability to manage heavy workload of diverse matters in a timely manner
- High standards of personal integrity and sound business judgment
- Diverse problem-solving skills in the investment arena
- Significant interpersonal skills and the ability to successfully deal with internal colleagues, external counsel, and other third parties at senior levels
- Must be willing to comply with the provisions of Barings’ Code of Ethics related to personal securities activities and other disclosure and certification requirements
Responsibilities
- Review, analyze, and negotiate senior secured private credit investments, private placement bonds/notes, project finance/infrastructure transactions, portfolio finance, and private equity investments.
- Provide day to day legal support to Private Assets internal business teams and portfolio managers.
- Identify regulatory and operational issues relevant to a SEC registered investment adviser as they apply to investment transactions on behalf of third-party clients.
- Communicate material legal, compliance and regulatory issues promptly to the firm’s relevant stakeholders.
- Select, manage, and oversee external counsel in accordance with the firm’s Outside Counsel Management Guidelines.
- Provide support and counsel on special projects.
Preferred Qualifications
- Knowledge of the Investment Advisers Act of 1940 preferred, but not required
